This Investor Risk & Awareness Policy applies to Flora Group and all its divisions, subsidiaries, associate companies, and business units, including but not limited to Flora Green Energy, Flora Estates and Investments, Flora Spirits, Flora Life, Flora Green Energy Industry, Bishan Import & Export, Smart Farmer Store, Flora Cafe, Flora Art, Satellite Town, and Flora Green Energy Research & Solutions (collectively “Flora Group”, “Company”, “we”, “our”).

This Policy is intended for investors, financial partners, distributors, franchise applicants, dealership partners, stock purchasers, project investors, and capital contributors.

1. Purpose

The purpose of this policy is to ensure that all investors clearly understand the risks associated with business investment and financial participation.

2. No Guaranteed Returns / No Assured Income

We do not guarantee:

❌ Assured profits
❌ Predetermined annual returns
❌ Recovery of principal in all conditions
❌ Guaranteed market success

All investments are subject to market, regulatory, financial, operational, environmental, and geopolitical risks.
Any representation claiming “guaranteed returns” without written authorization from Flora Group management is fraudulent and must be reported immediately.

3. Risk Factors

Investors must be aware of the following risks (including but not limited to):
-Market price fluctuation & demand variations
-Commodity and rare metal price volatility
-Regulatory changes (Government / DGFT / RBI / SEBI / GST / Excise)
-International trade restrictions or sanctions
-Currency / exchange rate fluctuations
-Project delays, operational challenges or supply chain disruption
-Natural calamities, war, pandemic, or global crisis
-Due diligence & compliance failure by third-parties

Investing in early-stage sectors like energy storage, future battery technology, rare metals, and advanced materials involves high risk.

4. Due Diligence Requirement

All investors are encouraged to:
✔ Conduct independent financial and legal due diligence
✔ Seek advice from a certified financial advisor
✔ Review all documents before signing
✔ Verify licenses, trade permissions, agreements, and contracts

The company is not responsible for investment decisions based solely on assumptions, rumors, or third-party claims.

5. Compliance & Legal Framework

All investment activities will adhere to applicable laws including:
-The Companies Act, 2013
-Income Tax Act, 1961
-FEMA (Foreign Exchange Management Act)
-RBI, SEBI, DGFT, BIS, Customs Act, GST law
-Relevant International Trade Regulations

Investors must comply with:
-KYC / AML (Anti-Money Laundering)
-Source of funds verification
-Export/import compliance rules

We reserve the right to reject or return investment if sources of funds are suspicious or illegal.

6. Misrepresentation & Fraud Protection

If any third-party agent, broker, employee, or distributor:
-Promises fixed or guaranteed returns
-Misrepresents the business or products
-Claims unauthorized partnership or agency
-Gives verbal promises not in writing

→ The company will not be responsible for such misrepresentation.
→ Immediate action will be taken, including reporting to legal authorities.

Only documents signed by authorized directors hold legal validity.

7. Confidentiality

Confidential company information, internal reports, strategies, trade data, pricing, and contract details must not be shared externally without written permission.

All confidential information shared during investment discussions remains property of Flora Group.

8. Exit Policy

Exit opportunities, buy-back clauses, or profit-sharing arrangements (if applicable) will be governed strictly by legally signed agreements and are not universal to all investors.

No verbal or digital communication (WhatsApp, message, or call) shall override written agreements.

9. Investor Acknowledgement

By proceeding with investment or partnership discussions, the investor confirms that:
-They understand investment is subject to risk
-They take financial decisions independently
-They are not influenced by promises of guaranteed returns
-They accept market and business fluctuations
-They agree to provide accurate and legal information
